Terms of Service — Skyra CIP

These Terms of Service govern your access to and use of the Skyra Commodity Intelligence Platform ("Platform"), operated by Skyra Holdings Limited ("Skyra", "we", "our") at skyra.com.hk. Last Updated: 23 June 2026.

1. Acceptance of Terms

By accessing or using the Skyra Commodity Intelligence Platform ("Platform"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Platform.

These Terms apply to all users, including visitors, registered users, and partners. Skyra Holdings Limited reserves the right to update these Terms at any time. Continued use of the Platform after changes are posted constitutes acceptance of the updated Terms.

2. Eligibility

You must be at least 18 years of age and capable of entering into a legally binding agreement to use the Platform. By using the Platform, you represent and warrant that you meet these requirements.

Access may be restricted in jurisdictions where the use of commodity intelligence or trading platforms is prohibited or requires licensing. It is your responsibility to ensure compliance with local laws.

3. Account Registration & KYC

To access certain features, you must register an account and complete the Know Your Customer (KYC) verification process. You agree to provide accurate, current, and complete information during registration and to keep your account details up to date.

You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. Notify us immediately at support@skyra.com.hk if you suspect unauthorised access.

Skyra Holdings Limited reserves the right to suspend or terminate accounts that provide false information or fail KYC verification.

4. Permitted Use of the Platform

The Platform is provided for legitimate commodity intelligence and trading purposes only. You agree not to:

Use the Platform for any unlawful purpose or in violation of any applicable law or regulation
Attempt to gain unauthorised access to any part of the Platform or its infrastructure
Scrape, copy, or redistribute Platform data without prior written consent
Introduce malware, viruses, or any harmful code
Impersonate any person or entity
Manipulate or interfere with market data displayed on the Platform
Use the Platform to engage in market manipulation, front-running, or any form of financial fraud

5. Platform Communication Rules

The Platform provides a managed messaging system ("Platform Messaging") to facilitate secure, compliant, and auditable communications between registered users in connection with marketplace listings and trade enquiries.

You agree not to:

Share personal or business contact information — including but not limited to email addresses, telephone numbers, mobile numbers, WhatsApp handles, Telegram usernames, Skype IDs, WeChat IDs, social media identifiers, or any other off-platform communication channel — within any Platform message, deal enquiry, listing description, or any other feature of the Platform
Attempt to redirect, solicit, or encourage any counterparty to communicate outside of the Platform's managed messaging environment
Use the Platform Messaging system for any purpose other than legitimate trade enquiries and deal-related communications

Platform Messaging is the sole permitted channel for counterparty engagement conducted through the Platform. Any attempt to circumvent the Platform's communication framework — whether to avoid oversight, reduce platform fees, or for any other reason — constitutes a material breach of these Terms.

Skyra Holdings Limited reserves the right to redact, withhold, or flag any message that is found to contain prohibited contact information. Such messages will be reviewed by the Compliance team and may not be delivered to the intended recipient.

Breach of this section may result in the immediate suspension or permanent termination of your account, without prior notice, at the sole discretion of Skyra Holdings Limited.

6. Market Data & Information

Prices and market data displayed on the Platform are sourced from third-party financial data providers (including CME/NYMEX, COMEX, LBMA, and others). This information is provided for informational purposes only and does not constitute financial advice, an offer to buy or sell, or a recommendation to trade.

Skyra Holdings Limited does not guarantee the accuracy, completeness, or timeliness of any market data. Past performance is not indicative of future results. You acknowledge that commodity trading involves significant risk of loss.

7. Risk Disclosure

Commodity trading carries a high level of risk and may not be suitable for all users. The value of commodities can fall as well as rise, and you may lose more than your initial investment.

You should carefully consider your investment objectives, level of experience, and risk appetite before using the Platform. Skyra Holdings Limited is not a licensed financial adviser. Nothing on the Platform constitutes financial, investment, legal, or tax advice. You should seek independent professional advice before making any trading decisions.

8. Intellectual Property

All content on the Platform, including but not limited to text, graphics, logos, icons, images, data compilations, software, and the overall design, is the property of Skyra Holdings Limited or its content suppliers and is protected by applicable intellectual property laws.

You are granted a limited, non-exclusive, non-transferable licence to access and use the Platform for its intended purpose. You may not reproduce, distribute, modify, or create derivative works from any Platform content without prior written consent.

9. Limitation of Liability

To the fullest extent permitted by applicable law, Skyra Holdings Limited, its directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising from your use of or inability to use the Platform.

The Platform is provided on an "as is" and "as available" basis without warranties of any kind. Skyra Holdings Limited does not warrant that the Platform will be uninterrupted, error-free, or free of viruses or other harmful components.

10. Termination

Skyra Holdings Limited reserves the right to suspend or terminate your access to the Platform at any time and without notice if you breach these Terms or engage in conduct that is harmful to the Platform, other users, or third parties.

Upon termination, your right to use the Platform ceases immediately. Provisions of these Terms that by their nature should survive termination shall remain in effect, including but not limited to ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

11. Governing Law & Dispute Resolution

These Terms are governed by and construed in accordance with the laws of Hong Kong Special Administrative Region of the People's Republic of China, without regard to its conflict of law provisions.

Any dispute arising out of or relating to these Terms or your use of the Platform shall be submitted to the Hong Kong International Arbitration Centre (HKIAC) for resolution by arbitration in accordance with the HKIAC Administered Arbitration Rules. The language of arbitration shall be English, and the seat of arbitration shall be Hong Kong.

12. Marketplace Listing Conduct & Anti-Fraud Policy

All marketplace listings submitted to the Platform must be accurate, bona fide, and consistent with prevailing market conditions at the time of submission. Members are strictly prohibited from posting listings that are false, misleading, fabricated, or intended to deceive other platform users.

Skyra Holdings Limited reserves the absolute right, at its sole discretion and without prior notice, to:

Temporarily suspend any listing that is identified as potentially inconsistent with current market conditions, suspected of containing inaccurate pricing, quantity, or specification data, or otherwise presenting a risk of harm to other platform members or to the integrity of the Platform. The Member will be notified and afforded an opportunity to rectify the listing, after which it may be reinstated following review.
Permanently remove any listing that is found to constitute a fraudulent representation, a scam attempt, a wilful misstatement, or a material breach of these Terms or the Platform's Marketplace Posting Guidelines.

In the event of a serious or repeated breach of this section — including but not limited to the submission of fraudulent listings, scam solicitations, or deliberately misleading commercial communications — the following enforcement actions will be applied without further warning: (1) The Member's account will be permanently terminated and all associated data deleted from Platform systems. (2) The Member will be indefinitely banned from accessing or re-registering on the Platform. (3) A formal fraud/scam alert notice will be broadcast to all registered members of the Skyra CIP platform, identifying the nature of the breach in accordance with Skyra's Anti-Fraud & Platform Integrity Policy.

The Member expressly acknowledges and irrevocably agrees that no refund of any membership fees paid — whether in full or in part — shall be due or payable in connection with: (a) the suspension or removal of any marketplace listing; (b) the suspension or termination of the Member's account pursuant to this section; or (c) any other enforcement action taken under this Anti-Fraud Policy. All membership fees are non-refundable under any and all circumstances arising from a breach of this section.
